1. Definitions
For the purposes of these Terms and Conditions ("Terms"), the following definitions apply:
- "Account": Your registration, credentials, and associated profile through which you access the Service
- "Aggregated Data": Data that results from processing User Data, summarized or anonymized so no individual, raw, or personally identifiable information is discernible
- "API": Application Programming Interface provided by QuantixAI for programmatic access to the Service
- "Beta Features": Features labeled as "beta," "preview," "early access," or similar, which are provided for testing and feedback purposes
- "Compute Units (CUs)": A virtual usage metric representing computational capacity available to the Customer within the Service. CUs are used for specific actions such as model training, forecasting, and Causal Impact Analysis. CUs are allocated on a monthly basis and reset at 00:00 CET on the 1st day of each calendar month, regardless of the Customer's billing or subscription start date. Unused CUs do not roll over
- "Confidential Information": Any non-public, proprietary, or confidential information disclosed by one party to the other
- "Customer" or "You": The business entity that has entered into these Terms
- "Data Processing Agreement" or "DPA": The separate agreement governing the processing of personal data, available at www.quantix-ai.eu/dpa
- "Documentation": All user guides, technical manuals, and API documentation provided with the Service
- "Effective Date": The date when you first accept these Terms or access the Service
- "Forecast": Any prediction, projection, or estimation of future values, trends, or events generated by the Service based on time-series analysis
- "Model Training": The computational process of building, calibrating, or optimizing statistical or machine learning models using User Data
- "Professional Services": Any consulting, training, or implementation services provided separately from the Service
- "Seat": An individual user license under a Subscription
- "Service": The QuantixAI platform, including time-series analysis, causal impact analysis, forecasting tools, APIs, and all related features and services
- "Subscription": A paid plan for accessing the Service
- "Third-Party Services": External services integrated with our Service (e.g., Paddle for payments, Auth0 for authentication)
- "Time Series Data": Sequential data points indexed in time order that are uploaded or processed through the Service
- "User Data": All data, content, and materials uploaded or input by you into the Service
2. Acceptance of Terms
2.1 Business Use Only
The Service is provided exclusively for business use (B2B). By accepting these Terms, you represent and warrant that:
- You are entering into these Terms on behalf of a business entity
- You have the authority to bind that entity to these Terms
- You are not using the Service for personal, household, or consumer purposes
- You are at least 18 years old and have the legal capacity to enter into binding contracts
- If accepting on behalf of a company, you have the authority to legally bind that company to these Terms
2.2 Prohibited for Minors
The Service is not intended for use by individuals under the age of 18. If we discover that a minor has created an Account, we will terminate that Account immediately and delete associated data in accordance with applicable law.
2.3 Modifications to Terms
We may modify these Terms from time to time. We will notify you of changes as follows:
- Material Changes: Notified via email at least 30 days before taking effect. Material changes include modifications to pricing structure, liability provisions, data processing practices, or fundamental service features
- Non-Material Changes: Changes such as clarifications, formatting updates, bug fixes, or minor feature updates take effect immediately upon posting
Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to material changes, you may terminate your Subscription in accordance with Section 16.1.
3. Scope of Service
3.1 Service Description
QuantixAI provides:
- Advanced time-series forecasting capabilities
- Causal impact analysis tools
- Statistical and machine learning models
- Data visualization and reporting features
- API access for programmatic integration
- Cloud-based data processing and storage
3.2 Service Evolution
We continuously improve the Service and may:
- Add, modify, or remove features
- Update algorithms and models
- Change user interfaces
- Introduce new integrations
- Adjust computational methods
Where such changes materially affect your use of core Service functionality, we will provide reasonable notice.
3.3 Beta Features
Beta Features are provided "as-is" without warranties. We may modify or discontinue Beta Features at any time without notice. Feedback provided on Beta Features becomes our property under Section 9.
3.4 Accuracy of Information
While we make reasonable efforts to ensure the Service provides accurate outputs, we do not guarantee:
- That all data visualizations are free from errors
- That computational outputs are error-free
- That historical information displayed is current
- That third-party data integrations are always accurate
We reserve the right to correct any errors, inaccuracies, or omissions in the Service at any time without prior notice. No specified update or refresh date in the Service should be taken to indicate that all information has been modified or updated.
You agree that it is your responsibility to:
- Verify the accuracy of Service outputs before making business decisions
- Consult primary sources for critical information
- Monitor changes to your data and models
- Independently validate results
4. Account Registration and Security
4.1 Account Creation
You must provide accurate, complete, and current information during registration. You agree to promptly update your account information, including email address and billing details, to ensure we can complete transactions and contact you as needed.
Each user must have a unique account. Sharing credentials is prohibited.
4.2 Age and Authority Verification
By creating an Account, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into these Terms
- All registration information you submit is truthful and accurate
- If registering on behalf of a business entity, you have the authority to bind that entity
4.3 Security Responsibilities
You are responsible for:
- Maintaining the confidentiality of account credentials
- All activities occurring under your account
- Immediately notifying us at security@quantix-ai.eu of any unauthorized access or security breaches
- Using strong passwords and enabling two-factor authentication when available
- Ensuring that only authorized users within your organization access the Service
We reserve the right to suspend or terminate accounts that show signs of unauthorized access or security compromise.
4.4 Authentication
We use Auth0 for secure authentication. By using the Service, you agree to Auth0's terms and privacy practices.
5. Subscription Plans and Billing
5.1 Subscription Tiers
Subscription details, including features, compute unit limits, and seat limits, are available on our pricing page at www.quantix-ai.eu/pricing and in any Order Forms you execute.
5.1.1 Compute Unit Usage and Charges
The Service charges Compute Units ("CUs") for the following actions:
- Causal Impact Analysis: 2 CUs per analysis
- Model Training: 5 CUs per training session
- Forecasting: 2 CUs + 0.005 CUs per unique_id (Example: 60 unique_id forecasts = 2 + (0.005 × 60) = 2.3 CUs)
CU consumption is deducted automatically from your balance. Remaining CUs are visible in your account dashboard.
5.1.2 CU Allocation and Reset
Compute Units (CUs) are allocated on a calendar-month basis and reset automatically at 00:00 CET on the first day of each month. Customers receive their full monthly CU quota upon subscription activation, regardless of their subscription start date. CUs do not accumulate or carry over between months.
Example: A subscription starting on March 15th will receive a full March CU quota, which resets on April 1st.
5.1.3 Exceeding CU Limits
If you exhaust your monthly CU allocation before the reset date:
- Service functionality requiring CUs will be unavailable until reset
- You may upgrade to a higher-tier plan with more CUs
- You may purchase additional CU packages
5.2 Payment Terms
- Currency: All prices are in EUR unless otherwise specified in an Order Form
- Taxes: Prices exclude VAT and other applicable taxes, which you are responsible for paying. You agree to provide any tax identification numbers or exemption certificates as required
- Payment Processor: Payments are processed by Paddle.com Market Limited. By subscribing, you agree to Paddle's terms of service
- Billing Cycle: Monthly or annual, as selected during subscription signup
- Invoice: Invoices are provided via email and accessible in your Account dashboard
5.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless:
- You cancel at least 24 hours before the renewal date
- We terminate your Subscription in accordance with Section 16
- Payment fails and is not resolved within the grace period
You will receive email notification before each automatic renewal.
5.4 Price Changes
We may adjust subscription prices with 30 days' advance notice via email. Price changes apply to renewals following the notice period. Current subscriptions will continue at the existing price until renewal.
You may cancel your Subscription before the new pricing takes effect if you do not agree to the price increase. Cancellation must occur at least 24 hours before your next billing date.
5.5 Failed Payments and Grace Period
If a payment fails:
- We will retry the payment within 3 days
- You will receive email notification of the failed payment
- A 7-day grace period begins from the original due date
- Your account remains active during the grace period
- If payment is not resolved within 7 days, your account will be suspended
To update payment information, visit your Account settings or contact support@quantix-ai.eu.
5.6 Billing Disputes
If you believe you have been incorrectly billed, you must contact us at billing@quantix-ai.eu within 30 days of the charge. We will investigate and respond within 10 business days. Undisputed amounts remain due during the investigation.
6. User Responsibilities and Acceptable Use
6.1 Compliance with Laws
You must comply with all applicable laws, regulations, and industry standards when using the Service, including but not limited to:
- Data protection and privacy laws (GDPR, CCPA, etc.)
- Export control regulations
- Financial services regulations (if applicable to your use)
- Intellectual property laws
- Anti-discrimination laws
6.2 Prohibited Uses
You shall not:
6.2.1 Illegal or Harmful Activities
- Use the Service for illegal, fraudulent, or harmful purposes
- Submit intentionally false, misleading, or fraudulent data
- Violate any person's legal rights, including intellectual property, privacy, or publicity rights
- Harass, abuse, threaten, defame, or discriminate against any person based on gender, sexual orientation, religion, ethnicity, race, age, national origin, disability, or other protected characteristics
6.2.2 Security Violations
- Attempt to breach or circumvent security measures
- Use automated means to scrape, extract, or harvest data beyond documented API limits
- Upload malicious code, viruses, malware, or any code of a destructive nature
- Interfere with other users' access to the Service
- Attempt to gain unauthorized access to any systems, accounts, or networks
- Probe, scan, or test the vulnerability of the Service without written permission
6.2.3 Unauthorized Activities
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of the Service
- Perform benchmark tests or competitive analysis without prior written permission
- Resell, redistribute, or provide bureau services using the Service without authorization
- Share Account access credentials with unauthorized third parties
- Use the Service on behalf of or for the benefit of third parties without appropriate licensing
6.2.4 Competitive Activities
- Use the Service to develop, train, or improve a competing time-series analysis, forecasting, or analytics product
- Attempt to reverse-engineer our forecasting algorithms, models, or methodologies
- Use Service outputs to build competing machine learning models
- Extract our proprietary statistical methods or intellectual property
6.2.5 Prohibited Data Processing
- Use the Service to process prohibited data types as defined in our Documentation
- Attempt prompt injection, jailbreaking, or manipulation of integrated AI models
- Upload datasets that violate copyright, trade secret, or other intellectual property rights
6.2.6 High-Stakes Decision Restrictions
- Use the Service as the sole basis for decisions in safety-critical, medical, legal, or financial contexts without independent professional verification
- Rely on Forecasts for decisions involving risk to human life, health, or safety
- Use the Service for fully automated decision-making with legal or significant effects on individuals without appropriate human oversight
6.3 Data Quality and Legality
You are solely responsible for:
- The accuracy, quality, completeness, and legality of User Data
- Obtaining all necessary rights, licenses, and consents to upload and process User Data
- Ensuring User Data does not violate any third-party rights
- The appropriateness of User Data for the analytical methods you select
6.4 Monitoring and Enforcement
We reserve the right, but are not obligated, to:
- Monitor use of the Service for compliance with these Terms
- Investigate suspected violations
- Remove or refuse to process User Data that violates these Terms
- Report suspected illegal activity to law enforcement
6.5 Consequences of Violations
Violation of this Section 6 may result in:
- Immediate suspension or termination of your Account
- Removal of User Data
- Legal action and pursuit of damages
- Notification to law enforcement authorities
7. Data Processing and Privacy
7.1 Data Processing Agreement
Our data processing practices are governed by the Data Processing Agreement (DPA), available at www.quantix-ai.eu/dpa or upon request at privacy@quantix-ai.eu.
The DPA incorporates:
- Standard Contractual Clauses for international data transfers
- Technical and organizational security measures
- Sub-processor lists and notification procedures
- Data subject rights fulfillment procedures
7.2 AI-Generated Explanations
We use Anthropic PBC (USA) to generate natural language explanations based on aggregated and fully anonymized analytical outputs only.
Important:
- We do not send any Personal Data or identifiable Customer Data to Anthropic
- Only statistical summaries and anonymized results are processed
- This integration is used solely to enhance user experience with natural language explanations
- Data processed in this context does not constitute personal data under GDPR
7.3 Data Location and Transfers
- Primary Storage: EU-based servers (Hetzner, Nuremberg, Germany)
- Backups: EU-based locations only
- International Transfers: Any transfers outside the EU/EEA are conducted under Standard Contractual Clauses (SCCs) approved by the European Commission
7.4 Data Retention
- Active Account Data: Retained during subscription term
- Post-Termination User Data: Deleted within 90 days unless retention is required by law
- Backup Copies: Purged according to backup rotation schedule (typically 30-90 days)
- Aggregated Data: May be retained indefinitely
7.5 GDPR Compliance
We comply with GDPR requirements including:
- Lawful Basis: Contract performance (Art. 6(1)(b) GDPR)
- Data Subject Rights: We facilitate your compliance with access, rectification, erasure, portability, restriction, and objection rights
- Privacy by Design: We implement data protection principles into Service design
- Security Measures: Appropriate technical and organizational measures based on risk assessment
- Breach Notification: We notify you within 72 hours of becoming aware of a personal data breach affecting your User Data
- Data Protection Officer: Available at privacy@quantix-ai.eu
7.6 Data Security
We implement:
- Encryption:
- At rest: AES-256 encryption
- In transit: TLS 1.3 (minimum TLS 1.2)
- Access Controls:
- Role-based access control (RBAC)
- Multi-factor authentication for administrative access
- Principle of least privilege
- Security Monitoring:
- Regular security audits and penetration testing
- Vulnerability scanning and patch management
- Audit logging of all access and modifications
- Employee Security:
- Background checks for employees with data access
- Mandatory security awareness training
- Confidentiality agreements
- Incident Response:
- Documented incident response procedures
- Breach notification procedures
8. Intellectual Property Rights
8.1 QuantixAI Intellectual Property
We retain all rights, title, and interest in and to:
- The Service and its underlying technology, software, and infrastructure
- All algorithms, models, methodologies, and statistical techniques
- Documentation, training materials, and knowledge base content
- The QuantixAI name, logo, trademarks, and branding
- Aggregated and anonymized data insights derived from the Service
8.2 Customer Intellectual Property
You retain all rights, title, and interest in and to:
- User Data uploaded to the Service
- Your pre-existing intellectual property
- Customer-specific configurations and settings
- Outputs and results generated directly from your User Data
8.3 License Grant to Customer
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to:
- Access and use the Service during your Subscription term
- Use the Documentation for your internal business purposes
- Use the API in accordance with API Documentation
This license automatically terminates upon termination of your Subscription.
8.4 License Grant to QuantixAI
You grant us a limited, worldwide, non-exclusive license to:
- Access, process, transmit, and store User Data solely to provide the Service
- Use User Data to perform the specific analytical functions you request
- Create Aggregated Data that does not identify you or your User Data
- Make backup copies for disaster recovery purposes
8.5 Feedback and Suggestions
Any feedback, suggestions, ideas, enhancement requests, recommendations, or other information you provide regarding the Service ("Feedback") becomes our exclusive property. You:
- Assign to us all rights, title, and interest in such Feedback
- Agree we may use Feedback without restriction, compensation, or attribution
- Waive any moral rights or attribution rights in the Feedback
- Represent that you have the right to provide such Feedback
8.6 Model Training
We do not train our proprietary models on your individual User Data. Only aggregated, anonymized insights may be used for service improvement.
9. User Submissions and Feedback
9.1 Scope of User Submissions
This section governs any content you submit to us outside of User Data processed through the Service, including:
- Feature requests and product suggestions
- Testimonials and reviews
- Forum posts, comments, or community contributions
- Case studies or success stories
- Participation in surveys, interviews, or user research
- Contest or promotion entries
- Bug reports with accompanying commentary
- Ideas for new features or business models
9.2 Ownership of Submissions
By submitting any content described in Section 9.1 ("Submissions"), you agree that we may, at any time and without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any Submissions that you forward to us. We are and shall be under no obligation to:
- Maintain any Submissions in confidence (unless separately agreed in writing)
- Pay compensation for any Submissions
- Respond to any Submissions
You grant us a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use your Submissions for any purpose.
9.3 Your Representations Regarding Submissions
You represent and warrant that your Submissions:
- Are your original work or you have obtained all necessary rights to submit them
- Do not violate any third-party intellectual property, privacy, publicity, or other proprietary rights
- Do not contain libelous, defamatory, obscene, or otherwise unlawful material
- Do not contain false, misleading, or deceptive information
- Do not contain malicious code, viruses, or malware
You are solely responsible for the accuracy and legality of your Submissions.
9.4 Testimonials and Case Studies
If you provide a testimonial, review, or agree to participate in a case study:
- We may use your name, company name, logo, and likeness in connection with the testimonial
- We may edit your testimonial for length or clarity (without changing the substantive meaning)
- We may use the testimonial in marketing materials, on our website, in sales presentations, and in press releases
- You may request removal of your testimonial at any time by emailing privacy@quantix-ai.eu (removal will occur within 30 days)
9.5 No Confidentiality for Unsolicited Ideas
Unless you have a separate non-disclosure agreement with us, we will not treat unsolicited Submissions as confidential or proprietary. If you wish to submit confidential information, please contact legal@quantix-ai.eu to arrange a mutual non-disclosure agreement first.
10. Forecasting and Analytics Disclaimers
10.1 Nature of Forecasting
CRITICAL DISCLAIMER: All Forecasts, predictions, projections, and analytical outputs provided by the Service are probabilistic estimates based on historical data and statistical models. They are not guarantees, promises, or assurances of future outcomes.
Time-series forecasting is inherently uncertain. No model can perfectly predict the future.
10.2 No Guarantee of Accuracy
We explicitly disclaim any warranty or guarantee that:
- Forecasts will be accurate, reliable, or error-free
- Past performance or historical patterns will continue into the future
- Statistical models will correctly identify causal relationships
- Predictions will account for unforeseen events, market disruptions, or external shocks
- Results are suitable for your specific business context or industry
10.3 Your Responsibilities When Using Forecasts
You acknowledge and agree that:
- You are solely responsible for all business decisions based on or informed by Service outputs
- You must independently verify Forecasts before relying on them for significant decisions
- You should consult with qualified professionals (financial advisors, statisticians, domain experts) before acting on Forecasts
- You understand the limitations of the models and methodologies being applied
- You will not use Forecasts as the sole basis for decisions involving substantial financial risk, legal obligations, or human safety
10.4 External Factors and Model Limitations
Forecasts may be materially affected by:
- Unprecedented events (black swan events, pandemics, natural disasters, geopolitical conflicts)
- Structural breaks in data patterns (market regime changes, regulatory changes, technological disruptions)
- Data quality issues (missing data, measurement errors, outliers, data drift)
- Model assumptions that may not hold in all circumstances
- Changes in the underlying system being modeled
We do not and cannot account for all possible external factors that may influence future outcomes.
10.5 No Professional or Financial Advice
The Service and its outputs:
- Do not constitute professional advice of any kind (financial, investment, legal, tax, medical, or otherwise)
- Are not a substitute for consultation with qualified professionals
- Should not be construed as recommendations to buy, sell, or hold any financial instrument
- Do not consider your individual circumstances, risk tolerance, or objectives
10.6 Limitations for High-Stakes Decisions
You agree NOT to use the Service as the sole or primary basis for decisions:
- Involving risk to human life, health, or safety
- With substantial financial consequences
- That could result in legal liability or regulatory penalties
- Affecting employment decisions without human review
- In safety-critical systems
If you use the Service to inform such decisions, you must apply appropriate human oversight and judgment.
10.7 Continuous Monitoring Required
You are responsible for:
- Continuously monitoring the performance of Forecasts against actual outcomes
- Adjusting your reliance on the Service based on observed accuracy
- Updating models and data as new information becomes available
- Recognizing when Forecasts are no longer reliable due to changing conditions
10.8 No Liability for Forecast-Based Decisions
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
- Financial losses resulting from inaccurate Forecasts
- Business decisions made in reliance on Service outputs
- Opportunity costs or lost profits due to forecast errors
- Consequences of using the Service in violation of this Section 10
See Section 14 (Limitation of Liability) for additional details.
11. Confidentiality
11.1 Definition of Confidential Information
"Confidential Information" means any non-public, proprietary, or confidential information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), including:
QuantixAI Confidential Information:
- Service architecture, algorithms, and source code
- Pricing structures not publicly available
- Product roadmaps and strategic plans
- Security measures and vulnerabilities
Customer Confidential Information:
- User Data (subject to Section 7)
- Business strategies and financial information
- Customer lists and internal processes
11.2 Exclusions from Confidential Information
Confidential Information does not include information that:
- Is or becomes publicly available through no breach of these Terms
- Was rightfully known to the Receiving Party before disclosure
- Is independently developed by the Receiving Party without use of the Confidential Information
- Is rightfully received from a third party without breach of confidentiality obligations
- Must be disclosed by law, court order, or government regulation (provided the Receiving Party gives prompt notice)
11.3 Confidentiality Obligations
Each party agrees to:
- Protect Confidential Information using at least reasonable care
- Not disclose Confidential Information to third parties without prior written consent
- Use Confidential Information only for purposes of these Terms
- Limit access to employees and contractors who have a legitimate need to know and are bound by confidentiality obligations
11.4 Duration
Confidentiality obligations under this Section 11 shall survive termination of these Terms and continue for five (5) years from the date of disclosure of the Confidential Information.
12. Service Availability and Support
12.1 Service Availability
We do not guarantee, represent, or warrant that your use of the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.
You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.
You expressly agree that your use of, or inability to use, the Service is at your sole risk.
Planned Maintenance:
- We will attempt to notify you of planned maintenance at least 48 hours in advance via email
- Planned maintenance is typically scheduled during low-usage periods when possible
Emergency Maintenance:
- May be conducted without advance notice when necessary to address critical security vulnerabilities or prevent service outages
- We will notify you as soon as practicable
Service Monitoring: We maintain automated service monitoring and incident detection systems.
12.2 Standard Support (Included with All Plans)
Channels:
- Email: support@quantix-ai.eu
Hours: Monday-Friday, 9:00-17:00 CET (excluding Slovak public holidays)
Response Times:
- Critical issues (service unavailable): Within 12 business hours
- High priority (major feature broken): Within 24 business hours
- Normal priority (questions, minor issues): Within 48 business hours
- Low priority (feature requests, general inquiries): Within 5 business days
Included Support:
- Technical troubleshooting and bug resolution
- Account and billing questions
- API integration assistance
- Access to Documentation and knowledge base
- Guidance on best practices for using the Service
12.3 Support Exclusions
We are not obligated to provide support for:
- Issues caused by your misuse of the Service or violation of these Terms
- Problems resulting from your modifications or integration code
- Third-party services not officially integrated with the Service
- Issues caused by your failure to follow Documentation
13. Warranties and Disclaimers
13.1 Mutual Warranties
Each party represents and warrants that:
- It has the legal power and authority to enter into these Terms
- These Terms constitute a valid and binding obligation
- It will comply with all applicable laws and regulations
13.2 SERVICE PROVIDED "AS IS"
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 13.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
13.3 DISCLAIMER OF WARRANTIES

We disclaim all warranties regarding Third-Party Services. Your use of Third-Party Services is governed by their respective terms.
14. Limitation of Liability
14.1 EXCLUSION OF CERTAIN DAMAGES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUANTIXAI, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- SPECIAL DAMAGES
- CONSEQUENTIAL DAMAGES
- EXEMPLARY OR PUNITIVE DAMAGES
INCLUDING, WITHOUT LIMITATION:
- LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- LOSS OF DATA OR INFORMATION
- COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
- LOSS OF GOODWILL OR REPUTATION
- BUSINESS INTERRUPTION
- FINANCIAL LOSSES RESULTING FROM INACCURATE FORECASTS OR PREDICTIONS

This exclusion applies regardless of the legal theory and whether QuantixAI has been advised of the possibility of such damages.
14.2 CAP ON LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUANTIXAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- (A) THE FEES YOU PAID TO QUANTIXAI IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM
- (B) €5,000 (FIVE THOUSAND EUROS)
14.3 Exceptions to Limitations
The limitations in Sections 14.1 and 14.2 DO NOT apply to liability arising from:
- Death or Personal Injury caused by QuantixAI's negligence
- Fraud or Fraudulent Misrepresentation by QuantixAI
- Gross Negligence or Willful Misconduct by QuantixAI
- Breach of Confidentiality Obligations under Section 11
- Indemnification Obligations under Section 15
- Payment Obligations (your obligation to pay fees)
- Liabilities that Cannot be Limited by Law
14.4 Allocation of Risk
You acknowledge that the fees charged for the Service reflect the allocation of risk set forth in these Terms, and that QuantixAI would not offer the Service at the current prices without these limitations.
15. Indemnification
15.1 Customer Indemnification
You agree to defend, indemnify, and hold harmless QuantixAI, our affiliates, and our respective officers, directors, employees, agents, contractors, and licensors from and against any third-party claims arising from or relating to:
- Your User Data infringing third-party intellectual property or privacy rights
- Your violation of these Terms
- Your violation of applicable laws when using the Service
- Disputes between you and your end users
- Your business decisions based on Service outputs
15.2 QuantixAI Indemnification
We agree to defend, indemnify, and hold harmless you from third-party claims that the Service, when used in accordance with these Terms, infringes a third-party's intellectual property rights enforceable in the European Union.
Exceptions: We have no obligation to indemnify you for claims arising from:
- User Data or customer modifications
- Unauthorized use of the Service
- Third-party components you selected
- Combination with unauthorized products
- Continued use after notice to discontinue
- Beta Features
Our Remedies: If the Service becomes subject to an infringement claim, we may:
- Obtain the right for you to continue using the Service
- Replace or modify the Service to make it non-infringing
- Terminate your Subscription and refund prepaid, unused fees on a pro-rata basis
15.3 Indemnification Procedures
The party seeking indemnification must:
- Notify the indemnifying party promptly in writing
- Provide reasonable cooperation in the defense
- Grant sole control over the defense and settlement
15.4 Exclusive Remedy
Section 15.2 states our sole and exclusive liability for third-party intellectual property infringement claims.
16. Termination and Suspension
16.1 Termination by Customer
You may terminate your Subscription at any time by:
- Canceling through your Account settings, or
- Sending written notice to billing@quantix-ai.eu
Effective Date: End of the current billing period (no mid-period pro-rata refunds)
Requirements: You must provide at least 30 days' advance notice before the next billing date.
16.2 Termination by QuantixAI
We may terminate:
For Cause (Immediate):
- Material breach of these Terms
- Breach of Section 6 (Acceptable Use)
- Failed payment not cured within grace period
- Security risk to the Service or other users
- Required by law
Without Cause: With 90 days' advance written notice
16.3 Suspension Rights
We may immediately suspend your access without refund if:
- Required by law or court order
- Necessary to prevent security threats or data breaches
- Your account is subject to a cyber attack
- We detect illegal activity or material Terms violations
- Payment is overdue beyond the grace period
16.4 Effect of Termination
Upon termination:
- Your access ceases immediately
- You have 30 days to export your User Data
- We will permanently delete all User Data 90 days after termination
- Accrued obligations survive
16.5 Survival
These sections survive termination: Definitions, IP Rights, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and General Provisions.
17. Refunds and Cancellations
17.1 General Refund Policy
Our order process is conducted by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all our orders and handles all customer service inquiries and returns.
Consequently, all refunds are governed by Paddle’s Buyer Terms and Conditions, which typically provide a 14-day right of withdrawal (money-back guarantee) for eligible purchases. You may request a refund directly through Paddle or by contacting our support team to initiate the process with them.
17.2 Termination Without Cause by QuantixAI
If we terminate your Subscription without cause under Section 16.2, we will refund prepaid fees for the unused portion of your subscription on a pro-rata daily basis.
17.3 Material Adverse Changes
If we make a material adverse change to these Terms and you do not agree, you may terminate within 30 days of notification and receive a pro-rata refund of any prepaid annual subscription fees for the unused portion.
17.4 No Refunds for Violations
If your Subscription is terminated for cause, you are not entitled to any refund and remain liable for all outstanding fees.
17.5 Cancellation Process
To cancel your Subscription:
- Self-Service: Log into your Account → User Settings → Customer portal
- Email Request: Send cancellation request to billing@quantix-ai.eu
Cancellations are effective at the end of the current billing period.
17.6 Disputed Charges
If you dispute a charge with your credit card company without first contacting us, and the dispute is resolved in our favor, you remain liable for the fees plus any chargeback fees incurred. Always contact billing@quantix-ai.eu first if you believe you were charged in error.
18. Export Compliance
18.1 Export Restrictions
You acknowledge that the Service may be subject to export control laws and regulations. You agree that you will not export, re-export, transfer, or make available the Service to:
- Any country subject to EU or U.S. trade sanctions or embargoes
- Any person or entity on restricted party lists
- Any end user engaged in prohibited activities
18.2 Prohibited Countries
As of the Effective Date, the Service may not be accessed or used in the following countries (subject to change):
- Cuba
- Iran
- North Korea
- Syria
- Russia
- Crimea, Donetsk, and Luhansk regions of Ukraine
- Any other country subject to comprehensive sanctions
You are responsible for monitoring changes to sanctions lists.
18.3 Compliance Representations
You represent and warrant that:
- You are not located in a prohibited country
- You are not on any government prohibited party list
- You will not access the Service from a prohibited jurisdiction
- Your use complies with all applicable export control laws
18.4 Breach of Export Compliance
If you breach this Section 18, we may immediately terminate your Subscription without refund and report violations to appropriate authorities.
19. Governing Law and Dispute Resolution
19.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Slovak Republic, without regard to conflict of law principles.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
19.2 Jurisdiction and Venue
The courts of Bratislava, Slovak Republic shall have exclusive jurisdiction over any disputes arising from these Terms.
Both parties irrevocably consent to the jurisdiction and venue of the courts of Bratislava and waive any objection to jurisdiction or venue.
19.3 Language
These Terms are executed in English. If translated, the English version shall prevail in case of conflict.
19.4 Dispute Escalation
Before initiating formal legal proceedings, the parties agree to attempt resolution through good faith negotiation:
- The disputing party sends written notice describing the dispute
- Senior management representatives meet within 15 days
- Parties negotiate in good faith for at least 30 days
This requirement does not apply to emergency injunctive relief or intellectual property disputes.
19.5 Costs and Attorneys' Fees
The prevailing party in any dispute shall be entitled to recover reasonable attorneys' fees and court costs.
20. General Provisions
20.1 Entire Agreement
These Terms, including incorporated documents (DPA, Order Forms), constitute the entire agreement. In case of conflict between these Terms and a signed Order Form, the Order Form prevails.
20.2 Amendment
Amendments must be in writing and signed by both parties, except for Terms updates as described in Section 2.3.
20.3 Assignment
You may not assign these Terms without our written consent. We may assign to an affiliate or successor.
20.4 Severability
If any provision is invalid, the remainder continues in effect.
20.5 Waiver
No waiver is effective unless in writing. Failure to enforce any provision does not waive the right to enforce it later.
20.6 Force Majeure
Neither party is liable for delays due to events beyond reasonable control, including:
- Natural disasters
- Pandemics
- War, terrorism, or civil unrest
- Government actions
- Internet or telecommunications failures
- Cyber attacks (not caused by the party's negligence)
The affected party must notify the other party promptly. If force majeure continues for more than 90 days, either party may terminate without penalty.
20.7 Relationship of Parties
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

All notices must be in writing and sent to:

Notices are effective upon receipt (or 3 business days after sending, whichever is earlier).
20.9 Publicity
We may identify you as a customer in our marketing materials unless you request otherwise in writing at marketing@quantix-ai.eu.
20.10 Open Source
The Service may include open source software subject to separate licenses. A list of open source components is available in the Documentation.
20.11 Third-Party Beneficiaries
There are no third-party beneficiaries to these Terms.
20.12 Interpretation
Section headings are for convenience only and do not affect interpretation. "Including" means "including without limitation."
